The rules and expectations for using Shop Society.

SHOP SOCIETY TERMS OF SERVICE

Effective Date: 6/01/2026

1. ACCEPTANCE OF TERMS

Welcome to Shop Society ("Shop Society," "we," "us," or "our").

These Terms of Service ("Terms") govern your access to and use of the Shop Society mobile application, website, marketplace, social features, messaging services, content, products, and related services (collectively, the "Platform").

By accessing, browsing, creating an account, purchasing products, selling products, posting content, sending messages, or otherwise using the Platform, you agree to be bound by these Terms and all policies incorporated by reference.

If you do not agree to these Terms, you may not access or use the Platform.

2. MARKETPLACE STATUS

Shop Society is a technology platform that enables independent businesses and creators to connect with customers.

Shop Society is not a retailer, manufacturer, wholesaler, distributor, fulfillment provider, shipping carrier, payment processor, or merchant of record for products listed by independent sellers.

All products, services, listings, descriptions, shipping commitments, warranties, and customer service obligations are the sole responsibility of the seller offering the item.

Shop Society does not:

Manufacture products

Inspect products

Guarantee product quality

Guarantee seller performance

Guarantee delivery dates

Guarantee listing accuracy

Guarantee product legality

Guarantee product safety

Any contract for the purchase or sale of goods is entered into solely between the buyer and the seller.

Shop Society may assist in dispute resolution but is not a party to transactions between buyers and sellers.

3. ELIGIBILITY

Seller Accounts

To create a shop, receive payouts, sell products, or otherwise operate a business through Shop Society, you must:

Be at least eighteen (18) years old

Have the legal authority to enter into binding contracts

Provide accurate information

Comply with all applicable laws

General Users

Users under eighteen (18) may browse or use portions of the Platform only with the supervision and consent of a parent or legal guardian.

We reserve the right to request age verification at any time.

4. ACCOUNT REGISTRATION

You agree that all information provided during registration is accurate, complete, and current.

You are responsible for:

Maintaining account security

Protecting your password

Restricting access to your account

All activity occurring under your account

You may not:

Share accounts

Sell accounts

Transfer accounts without written permission

Impersonate another person or business

Create accounts using false information

Shop Society reserves the right to suspend or terminate accounts that violate these Terms.

5. USER CONTENT

The Platform may allow users to upload, publish, submit, create, transmit, or display content including:

Product listings

Photos

Videos

Shop profiles

Reviews

Stories

Posts

Comments

Messages

Business information

Promotional materials

You retain ownership of your content.

By posting content to Shop Society, you grant Shop Society a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to:

Host

Store

Display

Reproduce

Modify for formatting purposes

Distribute

Promote

Market

such content in connection with operating, improving, and promoting the Platform.

This license remains in effect for as long as the content remains on the Platform and for a reasonable period thereafter for backup, legal, and archival purposes.

6. REPRESENTATIONS REGARDING CONTENT

You represent and warrant that:

You own or have permission to use all content you upload.

Your content does not infringe any copyright, trademark, patent, trade secret, publicity right, or other intellectual property right.

Your content does not violate any law.

Your content is not fraudulent or misleading.

Your content does not contain malicious code or harmful software.

You are solely responsible for all content you upload or distribute through Shop Society.

7. AI-GENERATED CONTENT

Users may upload content created with artificial intelligence tools.

You remain solely responsible for all AI-generated content uploaded to the Platform.

By uploading AI-generated content, you represent that:

You have the legal right to use the content.

The content does not infringe intellectual property rights.

The content complies with these Terms and all applicable laws.

Shop Society assumes no responsibility for determining ownership of AI-generated content.

8. PRODUCTS AND SERVICES

Sellers may offer approved products and services through Shop Society.

Permitted categories may include:

Handmade products

Boutique products

Wholesale products

Print-on-demand products

Craft supplies

Digital products

Educational materials

Business resources

Shop Society may add, remove, restrict, or prohibit product categories at any time.

9. PROHIBITED PRODUCTS

The following products and services are prohibited:

Counterfeit goods

Trademark-infringing products

Copyright-infringing products

Illegal products

Stolen property

Controlled substances

Drug paraphernalia

Firearms or prohibited weapons

Adult content

Hazardous materials

Fraudulent products

Products that violate third-party rights

Shop Society may remove listings without notice and may suspend or terminate accounts associated with prohibited products.

10. DIGITAL PRODUCTS

Digital products may include downloadable files such as:

PDFs

Sewing patterns

SVG files

Templates

Digital artwork

Educational content

Business documents

Unless required by applicable law, all digital product purchases are final and non-refundable once purchased.

A seller may voluntarily issue a refund at their sole discretion.

Shop Society is not obligated to issue refunds for digital products.

11. PAYMENTS AND PLATFORM FEES

Shop Society facilitates transactions between buyers and independent sellers through third-party payment processors.

By using the Platform, you agree to comply with all applicable payment processor terms, including those of Stripe and any other payment providers used by Shop Society.

Platform Fees

Shop Society currently charges sellers a platform fee equal to five percent (5%) of the transaction amount.

Shop Society reserves the right to modify fees at any time upon reasonable notice to users.

Any fee changes will not apply retroactively to completed transactions.

Payment Processing Fees

Additional payment processing fees may be charged by third-party payment processors.

Such fees are separate from Shop Society platform fees and are the responsibility of the seller unless otherwise specified.

Taxes

Sellers are solely responsible for:

Determining applicable taxes

Collecting taxes when required

Reporting taxes

Filing tax returns

Maintaining tax records

Shop Society does not provide tax advice and makes no representations regarding tax obligations.

12. STRIPE CONNECT ACCOUNTS

Sellers may be required to create and maintain a Stripe Connect account or another approved payment account in order to receive payouts.

By connecting a payment account, sellers authorize Shop Society to:

Facilitate payments

Process refunds

Recover chargebacks

Recover carrier adjustments

Offset balances

Deduct fees owed to Shop Society

Sellers are responsible for maintaining accurate banking and payment information.

Shop Society is not responsible for delays caused by:

Payment processors

Banks

Verification requirements

Fraud reviews

Regulatory compliance procedures

If a seller's payment account becomes restricted, suspended, or terminated, Shop Society may suspend selling privileges until the issue is resolved.

13. PAYOUTS, RESERVES, AND HOLDS

Seller payouts are generally processed according to the payout schedule established by the payment processor.

Shop Society may, in its sole discretion, establish reserves, delay payouts, hold funds, recover funds, offset balances, reverse transactions, or otherwise restrict access to funds when necessary to:

Investigate fraud

Address chargebacks

Resolve disputes

Cover refunds

Recover carrier adjustments

Address policy violations

Comply with legal obligations

Protect marketplace integrity

Address excessive customer complaints

Mitigate financial risk

The amount and duration of any reserve or hold shall be determined by Shop Society based on the circumstances involved.

Nothing in these Terms guarantees immediate access to funds.

14. REFUNDS AND CHARGEBACKS

Buyers may request refunds in accordance with applicable seller policies, Shop Society policies, or applicable law.

Sellers remain financially responsible for:

Refunds

Chargebacks

Payment disputes

Carrier adjustment fees

Unauthorized transaction claims

If a chargeback or dispute is filed, Shop Society may:

Temporarily withhold funds

Recover funds from future payouts

Deduct funds from available balances

Restrict selling privileges

Require additional verification

Repeated chargebacks or disputes may result in account suspension or termination.

15. SHIPPING SERVICES

Shop Society may integrate with third-party shipping providers, including Shippo and participating carriers.

Any shipping services offered through the Platform are provided by independent third parties.

Shop Society does not guarantee:

Shipping rates

Delivery times

Package acceptance

Package tracking accuracy

Carrier performance

Claim approval

All shipping services remain subject to the terms and conditions of the applicable shipping provider.

16. SELLER SHIPPING RESPONSIBILITIES

Sellers are solely responsible for ensuring shipping information is accurate.

This includes:

Product weight

Packaging weight

Package dimensions

Packaging type

Shipping classifications

Customs information

Declared values

Sellers agree to maintain accurate shipping profiles and packaging templates where required.

Sellers are solely responsible for any losses arising from inaccurate shipping information.

17. CARRIER ADJUSTMENTS

Shipping carriers may assess additional charges after shipment based on factors including:

Incorrect package weight

Incorrect dimensions

Improper package classification

Address corrections

Additional carrier fees

Sellers remain solely responsible for all carrier adjustments.

Shop Society may recover carrier adjustments by:

Deducting funds from seller balances

Offsetting future payouts

Charging payment methods on file

Establishing reserves

Failure to satisfy carrier adjustments may result in suspension or termination of selling privileges.

18. SHIPPING INSURANCE

Insurance may be offered through third-party providers.

Insurance coverage is governed by the applicable insurance provider's terms and conditions.

Shop Society does not:

Underwrite insurance

Guarantee claim approval

Guarantee reimbursement

Act as an insurance carrier

Claim determinations are made solely by the applicable insurance provider.

19. ORDER FULFILLMENT

Sellers are solely responsible for:

Producing products

Packaging products

Shipping products

Providing accurate tracking information

Complying with shipping laws

Resolving fulfillment issues

Shop Society does not take possession of products and is not responsible for product fulfillment.

Failure to fulfill orders in a timely manner may result in:

Listing removal

Reduced visibility

Account restrictions

Suspension

Termination

20. OFF-PLATFORM TRANSACTIONS

Users may not use Shop Society to identify buyers, sellers, or business opportunities and then complete transactions outside the Platform for the purpose of avoiding fees.

Attempting to circumvent Shop Society fees may result in:

Account suspension

Account termination

Forfeiture of funds

Removal of listings

Other enforcement actions deemed appropriate by Shop Society

21. MESSAGING SERVICES

Shop Society may provide messaging features that allow users to communicate with one another before or after a purchase.

Users are solely responsible for the content of their communications.

By using the messaging system, you agree not to:

Harass, threaten, intimidate, or abuse other users

Send spam or unsolicited commercial messages

Transmit fraudulent or misleading information

Impersonate another person or business

Distribute malware, viruses, or harmful content

Use automated systems to send messages

Engage in unlawful activity

Shop Society reserves the right, but not the obligation, to review, investigate, monitor, preserve, or disclose communications when reasonably necessary to:

Investigate policy violations

Investigate fraud

Resolve disputes

Comply with legal obligations

Protect the safety of users

Protect the Platform

Users may block, mute, or report other users through available platform tools.

Shop Society is not responsible for the content of user communications.

22. SOCIAL FEATURES

The Platform may include social and community features, including but not limited to:

User profiles

Shop profiles

Posts

Stories

Comments

Activity feeds

Follows

Likes

Reactions

Messaging

Reviews

Users are solely responsible for content posted through social features.

Shop Society may remove content that violates these Terms, Community Guidelines, applicable law, or the rights of others.

Shop Society reserves the right to limit, restrict, modify, or discontinue social features at any time.

23. REVIEWS AND RATINGS

Buyers may be permitted to submit reviews and ratings regarding products, sellers, or transactions.

Reviews must:

Reflect the reviewer's genuine experience

Be truthful and accurate

Comply with applicable laws

Comply with these Terms

Users may not:

Submit false reviews

Purchase reviews

Sell reviews

Exchange products, services, discounts, or compensation for reviews unless expressly disclosed and permitted by law

Manipulate ratings

Harass or threaten users through reviews

Post defamatory content

Shop Society may remove reviews that violate these Terms or applicable laws.

Shop Society does not guarantee the accuracy of reviews.

24. PROHIBITED CONDUCT

Users may not engage in conduct that:

Violates any law or regulation

Infringes intellectual property rights

Violates another person's privacy rights

Promotes illegal activity

Promotes violence

Promotes discrimination or hate

Constitutes harassment or bullying

Contains sexually explicit content

Contains deceptive practices

Misleads buyers or sellers

Circumvents marketplace fees

Interferes with Platform operations

Attempts unauthorized access to systems

Uses automated tools without authorization

Scrapes platform data

Distributes malware or harmful code

Shop Society reserves the right to determine whether conduct violates these Terms.

25. FRAUD AND MARKETPLACE ABUSE

Users may not engage in fraudulent activity, including but not limited to:

Creating fake accounts

Creating duplicate accounts to evade enforcement actions

Manipulating platform metrics

Artificially inflating sales

Artificially inflating engagement

Submitting fraudulent claims

Filing fraudulent chargebacks

Misrepresenting products

Misrepresenting business information

Manipulating reviews or ratings

Shop Society may investigate suspected fraud and take any action deemed necessary to protect the Platform and its users.

26. ADVERTISING, PROMOTIONS, AND BOOSTED CONTENT

Shop Society may offer optional advertising, promotional, featured placement, boosted listings, sponsored content, or other marketing services.

Purchasing promotional services does not guarantee:

Sales

Revenue

Engagement

Traffic

Visibility

Business growth

Unless otherwise stated, fees paid for advertising and promotional services are non-refundable.

Shop Society reserves the right to approve, reject, modify, remove, suspend, or discontinue promotional services at any time.

27. THIRD-PARTY SERVICES

The Platform may integrate with third-party services, including but not limited to:

Payment processors

Shipping providers

Insurance providers

Analytics providers

Social media platforms

Marketing services

Shop Society does not control third-party services and is not responsible for:

Third-party actions

Third-party errors

Third-party outages

Third-party policies

Third-party security practices

Your use of third-party services is governed by the applicable third-party terms and policies.

28. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in the Platform, including but not limited to:

Software

Designs

Logos

Trademarks

Branding

Graphics

Text

Features

Functionality

are owned by Shop Society or its licensors and are protected by intellectual property laws.

Except as expressly permitted, users may not:

Copy

Modify

Reproduce

Distribute

Reverse engineer

Sell

License

Exploit

any portion of the Platform without prior written consent.

29. COPYRIGHT COMPLAINTS

Shop Society respects intellectual property rights.

If you believe content on the Platform infringes your copyright, trademark, or other intellectual property rights, you may submit a complaint to:

Your complaint should include:

Identification of the protected work

Identification of the allegedly infringing material

Contact information

A statement of good-faith belief

A statement made under penalty of perjury that the information provided is accurate

Shop Society may remove content, suspend accounts, or take other actions in response to intellectual property complaints.

30. REPEAT INFRINGERS

Shop Society maintains a policy of terminating accounts associated with repeated intellectual property violations.

Shop Society reserves the right to:

Remove content

Restrict accounts

Suspend accounts

Permanently terminate accounts

based on repeated infringement claims or violations.

Shop Society may act before receiving a court order when it reasonably believes action is necessary to protect intellectual property rights or the Platform.

31. DISPUTE RESOLUTION BETWEEN USERS

Shop Society encourages buyers and sellers to resolve disputes directly whenever possible.

Before escalating a dispute to Shop Society, users should make a good-faith effort to communicate and resolve the issue with the other party.

Unless otherwise required by law, buyers should allow sellers at least seventy-two (72) hours to respond before requesting Shop Society intervention.

If a dispute is escalated to Shop Society, users agree to cooperate by providing accurate information and supporting documentation, which may include:

Order records

Tracking information

Photographs

Communications

Receipts

Other relevant evidence

Shop Society reserves the right, but not the obligation, to investigate disputes and make determinations in its sole discretion.

Possible actions may include:

Denying a claim

Approving a refund

Approving a partial refund

Reversing a transaction

Restricting an account

Suspending an account

Removing listings

Establishing reserves

Taking other actions deemed appropriate

Shop Society's involvement in a dispute does not create liability for Shop Society and does not make Shop Society a party to the underlying transaction.

32. NO WARRANTY

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOP SOCIETY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY

FITNESS FOR A PARTICULAR PURPOSE

NON-INFRINGEMENT

TITLE

ACCURACY

RELIABILITY

AVAILABILITY

SECURITY

SHOP SOCIETY DOES NOT WARRANT THAT:

THE PLATFORM WILL BE UNINTERRUPTED

THE PLATFORM WILL BE ERROR-FREE

THE PLATFORM WILL BE SECURE

DEFECTS WILL BE CORRECTED

PRODUCTS LISTED ON THE PLATFORM WILL MEET EXPECTATIONS

USE OF THE PLATFORM IS AT YOUR OWN RISK.

33. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOP SOCIETY, ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES

INCIDENTAL DAMAGES

SPECIAL DAMAGES

CONSEQUENTIAL DAMAGES

EXEMPLARY DAMAGES

PUNITIVE DAMAGES

INCLUDING BUT NOT LIMITED TO:

LOST PROFITS

LOST REVENUE

LOST DATA

LOSS OF GOODWILL

BUSINESS INTERRUPTION

LOST BUSINESS OPPORTUNITIES

ARISING OUT OF OR RELATED TO:

USE OF THE PLATFORM

INABILITY TO USE THE PLATFORM

USER CONTENT

THIRD-PARTY SERVICES

PRODUCTS SOLD THROUGH THE PLATFORM

DISPUTES BETWEEN USERS

PAYMENT PROCESSING ISSUES

SHIPPING ISSUES

ACCOUNT SUSPENSIONS

SECURITY INCIDENTS

IN NO EVENT SHALL SHOP SOCIETY'S TOTAL LIABILITY EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100.00), OR

(B) THE TOTAL PLATFORM FEES PAID TO SHOP SOCIETY BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

34. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Shop Society and its affiliates, owners, officers, employees, contractors, agents, successors, and assigns from and against any claims, demands, liabilities, damages, losses, costs, expenses, and attorneys' fees arising out of or relating to:

Your use of the Platform

Your products

Your services

Your content

Your communications

Your violation of these Terms

Your violation of applicable laws

Your infringement of intellectual property rights

Your disputes with other users

This obligation survives termination of your account.

35. BINDING ARBITRATION AGREEMENT

PLEASE READ THIS SECTION CAREFULLY.

EXCEPT AS OTHERWISE PROVIDED HEREIN, YOU AND SHOP SOCIETY AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION.

Arbitration shall be conducted on an individual basis.

The arbitrator shall have exclusive authority to resolve any dispute relating to:

These Terms

Their interpretation

Their enforceability

Their applicability

The arbitration shall be administered by a recognized arbitration provider selected by Shop Society.

The arbitration shall take place remotely or in a location determined by the arbitration provider.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

36. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT:

CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY

YOU MAY NOT PARTICIPATE IN A CLASS ACTION

YOU MAY NOT PARTICIPATE IN A REPRESENTATIVE ACTION

YOU MAY NOT PARTICIPATE IN A PRIVATE ATTORNEY GENERAL ACTION

NO ARBITRATION OR PROCEEDING MAY BE COMBINED WITH ANOTHER WITHOUT THE WRITTEN CONSENT OF SHOP SOCIETY.

37. EXCEPTIONS TO ARBITRATION

Nothing in these Terms prevents either party from:

Bringing an individual claim in small claims court

Seeking injunctive relief

Pursuing intellectual property claims

Seeking emergency equitable relief

Enforcing arbitration awards

to the extent permitted by applicable law.

38. ACCOUNT RESTRICTION, SUSPENSION, AND TERMINATION

Shop Society may, at its sole discretion and without prior notice, restrict, suspend, disable, remove, or terminate any account, listing, content, or feature if it believes such action is necessary to:

Enforce these Terms

Protect users

Investigate fraud

Investigate abuse

Comply with legal obligations

Protect intellectual property rights

Protect marketplace integrity

Address excessive disputes

Address policy violations

Shop Society is not liable for any losses resulting from account restrictions, suspensions, or terminations.

Users may stop using the Platform at any time.

Certain obligations under these Terms shall survive termination.

39. CHANGES TO THE PLATFORM

Shop Society reserves the right to:

Add features

Modify features

Remove features

Suspend services

Discontinue services

Introduce beta features

Change functionality

at any time and without liability.

Certain features may be offered as beta, experimental, or early-access features and may be modified or discontinued without notice.

40. CHANGES TO THESE TERMS

Shop Society may update these Terms from time to time.

Updated Terms will be posted on the Platform with a revised effective date.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must discontinue use of the Platform.

41. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict-of-law principles.

Any legal proceeding permitted under these Terms and not subject to arbitration shall be brought exclusively in a court of competent jurisdiction located in Oklahoma.

42. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.

43. ENTIRE AGREEMENT

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and Shop Society regarding the Platform and supersede all prior agreements, understandings, and communications relating to the subject matter herein.
