Seller Agreement

The rules and expectations for using Shop Society.

SHOP SOCIETY SELLER AGREEMENT

Effective Date: June 1, 2026

This Seller Agreement ("Agreement") governs participation as a seller on Shop Society ("Shop Society," "we," "us," or "our").

By creating a shop, listing products, accepting orders, receiving payments, or otherwise selling through Shop Society, you agree to be bound by this Agreement and the Shop Society Terms of Service.

1. ELIGIBILITY

To operate a shop on Shop Society, you must:

Be at least eighteen (18) years old

Possess legal authority to enter binding agreements

Maintain a valid payment account approved by Shop Society

Provide accurate business information

Comply with all applicable laws

Shop Society may require identity verification at any time.

2. INDEPENDENT SELLER STATUS

Sellers operate independent businesses.

Nothing in this Agreement creates:

Employment

Partnership

Joint venture

Franchise

Agency relationship

between Shop Society and any seller.

Sellers are solely responsible for:

Products

Services

Pricing

Taxes

Shipping

Customer service

Business operations

3. SELLER RESPONSIBILITIES

Sellers agree to:

Maintain accurate listings

Provide truthful product descriptions

Accurately disclose processing times

Fulfill orders promptly

Respond to customer inquiries

Maintain current contact information

Comply with all laws and regulations

Sellers may not misrepresent products, materials, quantities, licenses, delivery times, or business information.

4. PRODUCT OWNERSHIP AND INTELLECTUAL PROPERTY

Sellers represent and warrant that they own or possess all rights necessary to:

Create

Display

Market

Sell

Distribute

all products and content offered through the Platform.

Sellers are solely responsible for:

Copyright compliance

Trademark compliance

Licensing compliance

Intellectual property claims

Shop Society may remove listings or suspend accounts upon receipt of infringement complaints or evidence of infringement.

5. PROHIBITED PRODUCTS

Sellers may not list prohibited products including:

Counterfeit goods

Copyright-infringing products

Trademark-infringing products

Illegal products

Stolen goods

Controlled substances

Weapons prohibited by law

Adult content

Hazardous materials

Fraudulent products

Shop Society may remove listings without notice.

6. PRICING

Sellers are responsible for setting their own pricing.

Sellers are solely responsible for:

Pricing errors

Discounts

Promotions

Tax calculations

Shipping charges

Shop Society is not responsible for seller pricing decisions.

7. PLATFORM FEES

Shop Society currently charges a platform fee of five percent (5%) of each completed transaction.

Shop Society reserves the right to modify fees upon reasonable notice.

Additional payment processing fees may apply through third-party providers.

8. PAYOUTS

Seller payouts are processed through approved payment providers.

Shop Society may:

Delay payouts

Establish reserves

Offset balances

Reverse payments

Recover funds

when necessary to address:

Chargebacks

Refunds

Fraud

Carrier adjustments

Policy violations

Marketplace risks

No seller is guaranteed immediate access to funds.

9. SHIPPING RESPONSIBILITIES

Sellers are solely responsible for:

Packaging products

Shipping products

Providing tracking information

Maintaining accurate shipping profiles

Complying with shipping regulations

Sellers must accurately provide:

Product weight

Packaging weight

Dimensions

Package type

Shipping classifications

Failure to provide accurate shipping information may result in carrier adjustments, reserves, or account restrictions.

10. CARRIER ADJUSTMENTS

Sellers remain solely responsible for all carrier adjustment fees.

Shop Society may recover carrier adjustments by:

Deducting seller balances

Offsetting future payouts

Charging payment methods on file

Repeated carrier adjustment issues may result in account suspension.

11. RETURNS AND REFUNDS

Sellers may establish their own return and refund policies, provided such policies:

Comply with applicable laws

Are clearly disclosed

Are consistently applied

Digital product sales are final unless:

Required by law

The seller voluntarily issues a refund

Sellers remain financially responsible for refunds issued on their orders.

12. CUSTOMER COMMUNICATIONS

Sellers agree to communicate professionally with customers.

Harassment, threats, discrimination, abusive language, or deceptive communications may result in account suspension or termination.

13. DISPUTES

Sellers agree to cooperate with dispute investigations.

Upon request, sellers must provide documentation including:

Tracking information

Receipts

Communications

Product photographs

Proof of fulfillment

Failure to cooperate may result in adverse determinations.

Shop Society reserves the right to make final marketplace decisions regarding disputes.

14. SELLER PERFORMANCE

Shop Society may monitor seller performance including:

Order completion rates

Cancellation rates

Refund rates

Chargeback rates

Customer complaints

Shipping performance

Excessive performance issues may result in:

Listing restrictions

Reduced visibility

Reserves

Suspension

Termination

15. OFF-PLATFORM TRANSACTIONS

Sellers may not use Shop Society to identify customers and then move transactions off-platform to avoid fees.

Violations may result in:

Account suspension

Account termination

Loss of payouts

Listing removal

16. TERMINATION

Shop Society may suspend or terminate seller accounts at its sole discretion.

Upon termination:

Listings may be removed

Selling privileges may be revoked

Funds may be held to address outstanding obligations

Termination does not eliminate seller liability for prior transactions.

17. INDEMNIFICATION

Sellers agree to defend, indemnify, and hold harmless Shop Society from claims arising out of:

Products

Listings

Intellectual property violations

Customer disputes

Shipping issues

Legal violations

This obligation survives termination.
